These Terms constitute a legally binding agreement between you (the "Customer" or "User") and Qwibot, Inc. ("Qwibot," "we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In such cases, "you" refers to that entity.
Qwibot is a Software-as-a-Service (SaaS) platform that provides AI-powered chatbot solutions specifically designed for local businesses. The Service enables businesses to deploy conversational AI assistants on their websites and digital properties to handle customer inquiries, manage reservation requests, provide business information, and perform related customer service functions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

We reserve the right to refuse registration or cancel accounts at our discretion, including if we believe that a user is engaging in prohibited activities or has provided false information. You may not create an account if you have been previously banned from using the Service.
Qwibot offers subscription-based access to the Service through the following plans:
Free Trial: New customers are eligible for a 7-day free trial on any paid plan. No charges will be applied during the trial period. Your selected payment method will be charged at the standard plan rate upon expiration of the trial unless you cancel before the trial ends.
Auto-Renewal: All subscriptions automatically renew on a monthly basis at the then-current rate for your selected plan. By subscribing, you authorize Qwibot to charge your payment method on a recurring monthly basis until you cancel.
Cancellation: You may cancel your subscription at any time through the billing portal accessible from your dashboard, or by contacting us at hello@qwibot.com. Cancellation takes effect at the end of the current billing period. Your access to the Service will continue through the end of the period for which you have already paid.
No Refunds for Partial Months: We do not provide refunds or credits for partial months of service. Upon cancellation, you will retain access to the Service until the end of your current billing cycle, after which your account will be downgraded or deactivated. All fees paid are non-refundable, except as expressly provided in these Terms or as required by applicable law.
We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
Violation of this Acceptable Use Policy may result in immediate termination of your account without notice or refund.
The Service and its original content, features, and functionality are and will remain the exclusive property of Qwibot, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Qwibot, Inc.
You retain ownership of all content and data you provide to the Service ("Customer Data"), including your business information, chatbot configurations, and conversation data. By using the Service, you grant Qwibot a limited, non-exclusive, royalty-free license to process and use your Customer Data solely for the purpose of providing and improving the Service.
Qwibot does not claim ownership of any chatbot responses generated on your behalf. However, you acknowledge that AI-generated content may not always be accurate, and you are responsible for reviewing and ensuring the appropriateness of your chatbot's responses.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by Qwibot without any obligation to you.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
QWIBOT DOES NOT WARRANT THAT:
AI-GENERATED RESPONSES ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR APPROPRIATE FOR ALL SITUATIONS. YOU ASSUME FULL RESPONSIBILITY FOR THE DEPLOYMENT AND USE OF AI CHATBOTS ON YOUR BUSINESS PROPERTIES. QWIBOT IS NOT RESPONSIBLE FOR ANY INACCURATE, OFFENSIVE, OR OTHERWISE INAPPROPRIATE RESPONSES GENERATED BY THE AI SERVICE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QWIBOT, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IN NO EVENT SHALL QWIBOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO QWIBOT DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF QWIBOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Qwibot, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Qwibot reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision or rule.
You agree that any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue therein, except as provided in the Dispute Resolution section below.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or invalidity thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and shall be conducted in the English language.
Class Action Waiver: YOU AND QWIBOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Qwibot agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Exceptions: Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm. Claims for intellectual property infringement may be brought in any court of competent jurisdiction.
Opt-Out Right: You may opt out of binding arbitration by providing written notice to hello@qwibot.com within 30 days of first using the Service. If you opt out, disputes will be resolved in the courts of Delaware.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification to the address associated with your account.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the modified Terms, you should discontinue your use of the Service.
